| 1. Quality: |

All materials must be as per the sample / specifications given by us. They will be subject to our inspection and approval within 30 days from the date of delivery. If not as per sample / specifications, they will be returned at your risk and expenses. |

| 2. Quantity: |
| |
The quantity of material supplied must not exceed the Purchase Order quantity without our prior permission, in writing. |
| |
| 3. Delivery: |
| |
The order will be subject to cancellation at our option, if delivery is not effected within the time period mentioned in the Purchase Order. In case our orders are partly executed, please state definitely whether and when the balance quantity will be supplied.
The material must be consigned to
PREMIER STARCH PRODUCTS PVT. LTD.,
BANGALORE - 560079.
and not to SELF. Material must be despatched to our factory address.

| 4. Transport: |
| |
Materials must be forwarded by the Transporter specified, if any, in the Purchase Order. Otherwise the difference in freight and other charges will be debited to your account with us. |

| 5. Excise Duty: As applicable. |
| |
6. Price Revision: |
| |
Amendment to the Purchase Order will be made if necessary for any revision in the price. The Purchase Order Amendment No. should be mentioned in the bill. |

| 7. Payment: As per terms mentioned in the Purchase Order. |
| |
| 8. Bills: |
| |
Your bills clearly mentioning our Purchase Order No., Goods Receipt Note No., Goods Consignment Note No. and Delivery Challan No. must be sent to the Accounts Department of our Registered Office immediately. |

| 9. Drafts: |
| |
No Drafts drawn on the company will be honored unless specifically agreed in the Purchase Order. |
| |
| 10. Cartage: |
| |
No charges will be allowed for cartage, packing and forwarding etc., unless specifically agreed in the Purchase Order. |

| 11. Statement of Account: |
| |
The Statement of Account must be sent by the first week of each month. |
| |
12. All Disputes are subject to Bangalore Jurisdiction only. |
